Hi Everyone,

Apologies in advanced for asking what must be a very basic question but:

How would I describe the perscribed particulars of a class B ordinary share that entails no voting rights but does entail dividend rights?

I need to allot them via an SH01 and then show them on the annual return.

I think I am perhaps being overly pedantic but my experience these things usually are!

From my research I gather that the answer might be in the Articles of Association.

Any help is massively appreciated.

my starter for 10 on this one is....

All Ordinary shares have the same rights and privileges and rank pari passu in all respects save that:-

 

As regards voting rights, the holders of the A Ordinary shares shall not be entitled to receive notice of, or vote at, any General Meeting of the Company.As regards income, the holders of the A Ordinary shares shall be entitled to varying amounts of dividend as declared by the Company from time to time.
