My client is undergoing a fund raising exercise (EIS) for £800k  for 15% of the company.

The company is a seed Technology company and has already had £250k of SEIS / EIS investment.

In addition to a number of UK individuals considering investing, They have attracted a small group of potential investors in Singapore looking to invest 300k.

I cannot see any incentives for foreign investors (EIS is only beneficial to UK tax payers).

However, I need to understand if stamp duty or any other tax is payable on the sale of shares for non UK residents.  

CGT does not exist in Singapore.

Any thoughts would be gratefully received.
