Share Transfer

I have taken on a new client  - a company. After performing a company search I found that the company was formed with two shareholder/directors. I am informed that the other shareholder/director is no longer involved in the business. What would other members ask to see to confirm transfer of shares? I have not met the other shareholder.

stock tranfer form

I would be asking for sight of the signed stock transfer form. If not then the shares would not have been transferred legally and therefore the other individual, although not involved inthe running of the business, will still own those shares.

It would be protection of your director for this process to have actually happened and not just a verbal conversation. If the company was to expend and become worth say £1m, then the other person may start to challenge the ownership of thos shareholdings.
