Director Indeminity Agreement

A friend is looking to leave a company after a disagreement with their business partner over the treatment of an accounting issue.

Other director wants to keep Co going due to exisiting client goodwill. My friend wants his backside covered and is looking for a basic agreement to use as a starting point to put together an indemnity (they will obviously go to a solicitor and their accountant to finalise it but as the sums involved are not huge they want to do the donkey work themselves if possible)

Is anyone aware of anything out there that might be useful ?
