Dissolving company

Didn't find your answer?

Recently setup ltd company for potential client, the company has not started to trade. Now the two directors had some disagreement between them and would like to dissolve the company.

Apart from completing the companies house form DS01 (striking off application), do i need to inform inland revenue and are there specific forms to complete to let them know?

appreciate any comments.

thanks

Write to tax office

You will need to explain this to the tax office as a CT41-g is generated when a company is formed and this sets up a tax reference. Should be straightforward.

Strike off

We deal with loads of these as formations agents. Companies House do advise HMRC but getting the record marked as gone can (surprisingly lol) take the Revenue a little time to action. We usually wait for the written confirmation letter from Companies advising they have received and actioned the Strike Off and forward a copy of that noting the CT reference number to the relevent tax office. (If a PAYE scheme has been set up as well then we do the same to the PAYE relevent office - but usually keep a copy in the bottom of our in tray for several months to keep resending as they continue to send out P35's and monthly reminders.. bless them)

We rarely have to advise CT departments again though, they seem to like the Companies House letter copy.
