Does anyone know what happens if a resolution or form is sent to Companies House later than the 15 day (or whatever it happens to be) deadline?

As an oversight, I forgot to send off copies of resolutions and allotment of shares forms, so if I send them now, they'll be just over a month old. Will anything happen? Can my company be fined?

No Charge
Since September 2007 there are allusions on the Cos House website that the only late submission for which a charge might be made is for late accounts (for which a scale is published - size and how late).

Technically there is a potential fine on the directors for any other late submissions (AR included), but a chat to the helpline staff revealed that is hardly ever invoked. They tell me it would take someone to actually complain for that to happen.

They are fairly relaxed - one recent client ended up with no directors and no company secretary (after the babysitting company secreatry service resigned). No problemo - new officers could self-register (the day after, but not before, their appointments).

Just post it off and it will be fine, barring any subsequent complaint from eg bank or similar creditors say in the event of its demise.

worst case scenario is they'll awkse you to do dem again.
