I think HMRC online is more frustrasting than ever. Trying to file online a P35 with no paid employees is hours and hours of frustration on the HMRC site. I think you can file it if you fill in a P38 with one pence wage, but it only sometimes works. The online "help" is hopeless- they say it is OK to do. When I use the HMRC site to complain, the search brings up how to complain to the adjudicator-you must have your NINO ready!. Not help with P35. I did laugh when the site gave me a page of "ongoing improvements" which was blank.
While on the moan, why can't we print out an income tax return in proper PDF for something that looks like a return, instead of the rubbish they give you with 10 pages of "not entered" Using commercial software is not the answer. Why should my tax dollars go to producing something so unusable?

I agree that you must not submit a P35 (whether online or on paper) if there are no paid employees, which is obviously why HMRC do not provide the facility on their website, but you should write to the PAYE district to say that no return is required so that they do not issue a penalty notice.

Incidentally, you might have paid employees who are covered by P46s for tax and have not exceeded the NI LEL. No P35 is required, but you should still submit a P38A for them.

Don't file
If there are no paid employees then you don't need to file a P35.
