How long before an AGM must a PLC publish...

Didn't find your answer?

Hi, hopefully a simple one here:

Is there a minimum number of days prior to an AGM that a PLC must have delivered annual accounts to it's shareholders? 21 or 28 days perhaps?

Many thanks,
SB

23 Days
Strictly speaking your should allow two extra days for postal transmission. You can get round this nowadays by posting your accounts online where they can be downloaded but only if your Articles allow and shareholders have the right (still) to request hard copies.

Don't do as I've seen a couple of companies do recently and send out copies before they have been signed. It's always been an offence but with no simple mechanisim to impose fines. Under the 2006 Act it will be easier for fines to be collected.

21 days
Under s238 CA 1985 or s424 CA 2006 it's 21 days for a PLC.
