Yes, probably
The Chairman is chairman of the board of directors and is therefore a director.
Except...
There is no statutory definition of a director and there are circumstances where the title director does not bring the post holder into the arena of a company director governed by the companies acts and possibly not for taxation purposes. So it follows that the title Chairman could be held by someone who is not regarded as a director for companies acts purposes.
Isn't the law wonderful?
