Yes the company could buy back shares but if only buying the same proportion from each shareholder the purchases would not qualify for capital treatment and would be taxed as income.  Therefore there is no point in buying back shares when you can achieve the same result much more easily by paying a dividend.

What's being sold?

Is the company selling its trade and assets or are the shareholders selling the company?

Good question - I assumed shares were to be sold as otherwise there would be no point in stripping out surplus cash before the sale.
