As a practicing Accountant I have a client who requires some advice which is outside of my normal remit and I am looking for a firm of advisers or a specialist who may be able to help. (This is a complex situation and my client would be paying for the advice and I am not looking for a freebie).

The scenario is that there is a dormant holding company (A) owned 100% by a husband and wife and that the holding company has a retail trading subsidiary (B).

The husband and wife also own a Partnership (C) which has the same trade as the subsidiary (B), but which also receives Franchise fees and rents.

The brother of the wife shareholder of the holding company (A) runs two Partnerships (C & D) which have the same trade as the subsidiary (B).

There is another Limited company (E) which is a totally separate entity, with the same trade as the subsidiary (B) and the Shareholders/Directors are not related to any of the other Partners/Directors/Shareholders of the other businesses.

My client (A, B and C) wish to simplify their whole business structure and liquidate either the holding or subsidiary company (A) or (B) so that there is just one trading company with all of the assets and then acquire the businesses of C, D & E (with their agreement), in return for shares in the remaining company (A or B).

The Partnership (C) would continue and still receive any Franchise fees and the rents and therefore it is only the Trading side of the business that would be amalgamated.

Obviously valuations would need to be obtained and there are obviously various taxes and reliefs which need to be considered in detail, but the idea is to simplify a splintered group with the same trade so that they are all run under one "umbrella".
