Client with ltd co. Has failed to respond all reminders about accounts and annual return. Co struck off. Question is client still trading and what do we do now he's decided to come to sort it out about filing tax returns etc. Co made losses so there's no ct

Client has asked to go as sole trader moving forward as he has struggled to cope with deadlines.

Forget the past
Register as a sole trader... Get money up front and on a direct debit there after...

If previously vat registered I would register immediately the sole trader business.

I assume then we don't need to try and file his outstanding CT return. Should I just contact hmrc to explain what's happened as he's had penalty notices for this as well

Maybe write and indicate dormant.

No real issue though as company is basically dead.

Not dormant, struck off

If the company has been completely struck off the register it no longer exists. HMRC had the opportunity to object to the striking off, and usually do these days, but they didn't. Any fines or other sums they are pursuing are gone with the company. Write to them pointing that out.

It might be worth pointing out the company made losses as well. They might still try to come after the director I they thought there was a CT bill and said director had taken the money that would have covered it. If the only amounts owed are penalties, they don't have a hope and making that clear stops them wasting both your client's and their time on this.

Deadlines

If he can't cope with deadlines for a company how is he going to cope with deadlines as a soletrader?

There may be no CT but are there any other tax liabilities such as PAYE, s455?
