What is the process for transferring the shares of a dormant ltd company to a new holding company?

What has dormant got to do with it?

Whoever owns the shares at present (individual? old holding company?) completes a stock transfer form in favour of the new holding company and files it at the company's registered office with the old share certificate for the director/secretary to cancel the old certificate and issue a new one to the new holding company.
