I need some initial advice with the following:

There are three individuals who have 6 separate companies in which they hold shares. They now wish to create a Holding company which would own these shares, with the three owning the shares in the HC.

I have not done this before and would be grateful for some initial guidance on the steps involved, what are the tax implications, Forms required etc.

I realise if it is too complicated I would have to engage someone on a Fixed Fee basis.

Share for share exchange
Depending on how the companies are currently owned, you could use a share for share exchange to insert the holding company. Usually, you would apply for clearance from HMRC that anti avoidance provisions don't apply.

Frankly, I would not advise trying this yourself if you have not done similar work before, or perhaps someone else in your practice has experience of it.

I would look to expert advice, especially if large sums are involved.
