The Co was incorporated in Scotland and has recently moved ALL business activities (office, staff etc - virtually nothing is left up North) to England.

The struggle is to change the registered office address in Co House as new address is not in Scotland - it`s in England. 

What could be done?

How to change the reg. address with Co House?

Contact Companies House

There is a procedure for this.

Suppose your existing company is called ABC Ltd.

You form a new company in England & call it ABC (England) Ltd or something similar.  Then you change the name of ABC Ltd to ABC (Scotland) Ltd.  Then you change the name of ABC (England) Ltd to ABC Ltd.

Then you transfer the assets & business of ABC (Scotland) Ltd to ABC Ltd.

Then you pay the lawyers fees & all the taxes to HMRC.

Or better still you just don't bother with any of this.

Thank you for a proper reply - the business is consultancy, so does not have many assets.

 

So will follow the scheme you mentioned.

Could you need not
Just pay £200 per year to have a nominee registered office in Scotland.

Where we've seen this in the past I think unfortunately the two main options are:

1) as Glennzy suggests, have a fairly permanent, paid (or nice friend/family member), registered office address in Scotland.

2) start a new English company, find a convenient point to transfer trade over, finalise and close Scottish company.
