There is no such thing as a template.  Doing a valuation properly is not about applying a standard formula but about considering all relevant factors and applying mature professional judgement. Who has asked you to value what, and for what purpose?  Be very careful indeed about "certifying" your valuation.  Do not say any more than that it is your opinion.

Not talking about the valuation as such.  Just the format - objective of the report, business description, disclaimer etc.

The owner wants to buy shares of his friend who is fellow director in the company and wants to make sure the valuation is low as possible but making sure it complies with HMRC.  The director is fine selling the shares at nominal value.

I don't think anyone on here will structure your report for you free of charge.  Presumably you have ruled out the possibility of holding over the gain.  The instruction presumably comes from the transferor, who will need the figure for his tax return.  Can't see what difference it makes to the transferee - except that he will prefer the value to be as high as possible.

Really? A director in a company paying nominal value for employment-related securities and wanting as high a value as possible? I suppose, given the other guy is a friend, they could fall outside the ERS regime - we don't know enough.

Complying with HMRC

The valuation will only comply with HMRC, as the question put it, if it comes up with the same answer they did. If not HMRC may want to know why, in case it was done negligently. HMRC normally use a multiple of maintanable earnings less a discount for a minority holding. That's the science behind it. The art is to know what figures to use, which is what a valuer charges for!!
