Firstly is it possible to waive the entitlement to a dividend payable on preference shares?  Secondly if that entitlement can be waived can a further dividend be voted on the ordinary shares of the same company, or would this be prohibited by the fact that no dividend had been paid on the preference shares (as all the preference shares are held by one shareholder)?

Careful

No reason why the dividend can't be waived. The right rests with the recipient, not the company.

Whether the ordy div could then be paid would depend on whether the M & A prohibit such a  distribution.
