A partnership commenced in 2006 which wrote software programmes and then sold annual licenses to use the programmes.

It incorporated in 2010 only to sell the licenses with the partners allowing the company to use the source code without charge.

They are now looking to sell the source code to the company, pay CGT claiming ER and have the company claim goodwill amortisation and have a credit to their loan account allowing them to draw down.

Is there any problem with this if a current valuation is used?
