I was wondering if anyone can point me in the right direction with my company's situation. I have two investors interested in committing funds into my business. The issue is that one investor is in the UK and the other in Germany. I currently have a LTD company in the UK and can setup BmbH in Germany. Both parties will only invest into the companies in their native counties. The funding has to be matched so the two cannot make two separate investments both need to go in as 'one'.
One solution I envisaged was bringing both companies together under one EU 'umbrella' (I'm unsure what technical term I should be looking for) this would allow both investors to invest into the 'umbrella' while still retaining separate country registration. I have looked into merging and other similar methods however this seems to involve liquidation which I'm keen like to avoid. There are also other things to consider such as legal costs and tax implications.
Does anyone have any suggestions as to the best way forward with this scenario?
