Naomi is so right
Shareholders agreements can be a mine field.
Everybody is happy at the start and then the falling out starts.
You could end up with a massive damage claim
and your PI will not entertain your claim.

If you are not in practice and you are seeking advice for yourself it is money
well spent getting a water tight agreement.
Dont forget a directors service contract is not the same as a shareholders contract
you need both.

Shareholders' agreement
If you're just looking to get an idea of what goes in, Practical Commercial Precedents (3 vol looseleaf Thomsons) contains a model shareholders agreement with commentary.

I don't want to be stuffy but the Institute rules on not drafting legal documents are there for a reason. A good solicitor will have their own house precedents and ensure that you end up with something which actually works the way you think it does.
