Small Company Co Secs

Small Company Co Secs

Didn't find your answer?

I keep hearing rumours (mostly in the press) that there are plans afoot to do away with the role of Co Sec in small companies (as defined by sect 249 of the comapnies act) but I can't find a definitive yes or no anywhere, not even companies house.

Anyone else heard this? Anyone got any further info?

More than two signatures
Most (e.g.) bank forms require more than just one director's signature, so unless you want two+ directors, a Co Sec is required.

Have you looked at the 2006 Companies Act?
Section 270 (1): A private company is not required to have a secretary.

yeah but no but.......
it doesn't say from when it applies AFAIK?

best I have found so far is that "most sections will be implemented by Oct 2007, and all should be implemented by Oct 2008"

Does a new small Co incorporating today for example need a Sec?

Make accountant company sec.
I agree with last comment and with the companies we set up we usually make ourselves the Company Secretary so we can easily deal with paperwork, file forms, returns, etc.

Company Sec's
The key wording in the Act is that Co Sec's will not be required for Small companies once the new act is enabled, however from discussions with others I suspect that many will choose to continue to have them especially as it gives a bit of weight to documents signed by a CS.

You still need a company secretary.
But there is light on the horizon.
