Solicitors, LLP & IR35

Solicitor client looking at becoming LLP. Each solicitor may incorporate individually. I know this works but just wondered about the effect of IR35.

If each company only works for the LLP, and each director only takes minimal salary and the balance in dividends, why would this definately fall out of IR35?

Any confirmation or links would be gratefully received!
