50/50 company directors on dispute

Can I take on a client of his company when he is on dispute with another director?

A potential client rangĀ up want to give his limited company's book for me to look after. However, he is on dispute ie. not talking with his 50/50 partner. His partner is looking after the book at this moment without any accounting knowledge. He is worried his partner is messing up the book for the company. Do I need to gain both of the company's directors agreement before I take on the job? Many Thanks.

Maybe legally you could, but for practical purposes, be careful and suggest they resolve their dispute before you take it on. 50:50 companies with disputes don't end prettily, and there are plenty of examples on here...

Check the Articles to see whether the chairman has a casting vote.

If so, find out who's chairman.

If not, by all means have a chat with both directors but, if they can't agree, steer well clear.

I would only accept appointment if both directors agreed first, and got them to pay up front. I have in the past acted in such cases when closing down a company, and I insisted they appoint me as a director, with a brief to break the deadlock in a board vote if necessary.

Walk away. If the bookkeeping director is at fault you will have a constant battle proving it. Also getting paid will be a nightmare as he is probably also a cheque signatory either alone or with the other one

Can't believe anyone would volunteer themselves for this job. Absolutely no win situation - even if you do get paid which, as bernard michael suggests, is optimistic.
