Closing a limited Company

Do you still have to file final accounts if you have closed a limited company

A cafe which closed down in March 2019 the Director has just let HMRC know, HMRC said they will send out a DS01 form to fill out.  Will the Director still have to file company accounts for 2018 and Confirmation statement etc?  It also traded for 4 months after the last end year, will these accounts need to be filed also?  The Director seems to think that she doesn't have to do anything now!  Thanks in advance.

Id be surprised if HMRC send a DS01 out - it's nothing to do with them.

The company may have to prepare 'accounts' of sorts and may have to file some documents with HMRC. In many cases you can do without them. No further accounts or returns will need to be filed at Companies House though, as long as the correct procedures are followed, the company holds no assets, and the company is no longer required.

HMRC will object to the striking off if the final tax returns are not filed.

However C House will eventually strike the Company off (without giving notice to HMRC) if statutory returns aren't filed with them.

Was the Company solvent?

At the risk of being pedantic, this isn't strictly true. If you can convince HMRC that there isn't a cat in hell's chance of any tax being due, and particularly if there is no cash in the kitty to pay for a final Tax Return, then they will sometimes oblige in an agreement not to object.

Granted the last time I got them to agree to this the available losses b/fwd exceeded the turnover for the period the CT600s would have covered, so it was a very simple case.
