Am looking at this for the first time. (private company)
Have board mins, Resolutions & SH03/06 all sorted.
Buy back is at a premium and the indiviual has held shares for less than 2 years. There are enough reserves to do so.
I am doing more research tonight, does any one have any pointers on areas to look in to and pitfalls to avoid? Much appreciated if you do.

I believe that the shares have to be held dor 5 years before a buy back would be treated as a capital transaction
