A client of mine was involved in a potential joint venture with another party who set up a company but nothing ever got off the ground.  This was about 4 years ago and Im sure everyone knows what happened next....dormant accounts not filed etc etc fines racked up and now the company has an outstanding balance with HMRC of abount £26k.  My client had the sense to resign himself as a director but didnt change the reg office which is his home address.

Ive just checked online at Companies House and there are no directors for the company and the company status is proposal to strike off but when my client has rang them they have had objections from HMRC because of the debt.

Is there anyway that the reg office address can be changed?  Ive checked the paper form and it needs signing from a director, secretary or a person authorised but I assume that a person would have to be authorised by a director?

Change of Registered Office

You can do it on line - no signature required - but you will need the authentication code. If you don't have it you can apply for it online. The code is sent to the Registered Office and, fortunately, as your home is the registered office it will be sent t you

No so sure

If there are no directors and no company secretary who can authorise a change of reg office.  Yes I am sure it can be done on line but as an accountant would you be prepared to effect a change without authority.

If nothing ever got off the ground and the company was dormant, how can it owe HMRC anything, let alone £26K?  The solution would be to write to HMRC to say that the company never traded and would they please drop their objection to the company being struck off.
