Compulsory dissolving company, fail filed accounts

What consequences? What to do now?

Didn't find your answer?

Hello, I have big business problem in UK and will be grateful for Your help and any advices.

My ltd company was dissolved va compulsory strike off.

I'm not UK resident, but I am EU country citizienship. Few years ago I ran ltd company
(private limited company) in United Kingdom with virtual adress. Unfortunatelly in first year
of business existing, I failed with file my first annual accounts to Companies House, so not pay any
tax to HMRC, not pay nothing. Just make confirmation statemnts. Not been in UK at this time.

And I use my private bank account from my country to business transactions... Bank not based in UK.

My calendar:

October 2016 - Open Company LTD (private limited company)

October 2017 - confirmation statemnts.

July 2018 - not filling annual accounts, so not pay tax to HMRC also.

September 2018 - First Gazette notice for compulsory strike-off

November 2018 - Final Gazette dissolved via compulsory strike-off

I'm not register in VAT

I'm not register in PAYE

The question is what I should do now? What is a consquence of my stupid attitude? I not pay any tax, no annual returns, company dissolved via compulsory strike off. And I didnt see any letters from
UK institution.

One account office from my country (specialized in UK business) advice me restore company, so pay any
punish, file annual accounts and pay unpaid tax to HMRC. It's good way?

But from the other side, I read some stories, when your company is dissolving, Your debts die with
company. But I don't know it work in my situation or not. Maybe it work only in voluntary strike off and
I'm still responsible for punish, not filing account and unpaid tax as a director?

Please note Im not UK resident, so maybe I am in another situation?

I'm really afraid that tax institution from UK will contact with local tax institution in my country to
force me to pay huge amounts of punish intemediatelly and will frezzing my acounts and any possibileties earn money.

To be honest I want pay any tax, file annual accounts. Unfortunatelly I dont have enough funds to pay everything indemediatelly. I need time, I have some business idea what can bring me profits for paying any debts.

But if local institution start block my account and everything, I can lose possibility of make money and chance for pay. I really want have calm and solve all problems, and be honest and clear next time. I know I did really wrong. I want repair everything, need little time to develop business. Its the last chance for me.

I wish to make agreetment with tax institution in UK and pay everything direct to them. But Im not sure its possible when my company is already dissolve.

How much fine, I could pay for not file annual accounts? Deadline was in July 2018, in November 2018 company was dissolved by Companies House.

It's worth for me to restore this company? its only way? Is it worth or forget and let you go?

Can I open another, new company in UK or I am ban from director role for 15 years?

When british tax institution can notice my local tax institution about my case?

What is the best solution for me? I will be grateful for any advice from your side.

To add to the previous answer you almost certainly need an accountant from your own country since on the facts presented the company was never resident in the uk and almost certainly has no uk tax liability. You will very likely have tax liabilities in your country of residence though you will need to check the terms of the relevant DTA to be sure. I suspect you have already racked up fines and penalties in your own country so don’t worry about the uk where you appear to be clear.

Many businessmann from my country open company in UK based on the same rules. Of course they care about duty not like me now...

And yes, we have DTA agreetment with UK. But I dont know the rules.

Well if you don’t know the rules you need to find them out. The most likely tie breaker clause is that your company is non resident for uk tax.

I'm not sure what your question is. Is this hypothetical or are you being pursued by the authorities in what ever country you are resident in?
