Converting a UK limited company to unlimited

Seeking specimen mem & arts of an unlimited UK company

A client is seeking to change his limited company to an unlimited company. Whilst the process is straightforward, the Companies House website suggests that the Articles of the company should be amended to reflect this change. There are no model articles for an unlimited company on CH website. Any idea where I could obtain model articles for an unlimited company?

I'd suggest that you seek help from a formation agent (or Companies House), and your client a psychiatrist.

Can only presume that not having to file accounts at Companies House is considered to trump the putting of personal assets at risk ... but in what circumstances and why we'll never know. I can think of a few possibilities, but can't afford a libel lawyer.

Agree both points
Companies house filing is not challenging and not much real detail anyway until company is no longer small.
As an outsider just looks odd
Would not pass DJKL sniff test

If your client is unaware of the full legal consequences of the plan, I would suggest pointing him/her towards a legal advisor. For your own protection, if nothing else, as I doubt advice you may have given in that regard is covered by your PII.

As an aside, my favourite strap line is in essence "we specialise in everything" (amazingly, I know of two companies that use such a slogan). I realise your typical GP accountant thinks this is true of him/herself. So... question. Why does Aweb have a tag of company law but not have a tag of say HR? (No, I'm not asking for more tags. The opposite: imho there are way too many already.)
