Do I have to pay Companies House late filing penalty if I close the Limited Company?

My small company has never trade. I have just got a penalty letter in from them for £1,500 for late filing of the 2019 accounts. However the circumstance is quite difficulty during the Covid period. I had lived in Scotland since the lockdown and couldn’t travel back to England to pick up the mails due to the travel restriction. I’ve only managed travel back to England in March 2021 and pick up all my letters. I’ve tried to submit the statement on March, however, it’s been rejected. I then emailed to Companies House in July to ask to resubmit the statement. Then I’ve received the penalty letter for £1,500. I am not blamed anybody; I know it’s my fault.

My question is, as the company has never trade and I just applyed to close the company. Do I still have to pay the penalty?

No, penalty will likely go away. The company has no assets to pay the penalty I assume seeing as its never traded.

generally they will not chase - however you should email them to see what their thoughts are - it helps if you update them acordingly ref specific plans to remove compoany from the live register. It will certainly help if its known that company is being closed down in orderley manner ignoring the filing penalty and that relevant paperwork has ben filed in that regard!

Companies House are on record as saying they won't chase penalties if DS01 is filed.

If it's already gone to an outside debt collection agency I would also inform the DCA and send a copy of the DS01.

Thanks, I just submitted application last night and its said will be removed after 2 months. I have send an appeals to CH before. Do I need to do anything in the meantime? The debt has already gone to debt collection agent. They are very efficient when they want your money.

If there are any other creditors you also need to inform them by recorded delivery, enclosing a copy of the DS01

Thanks, there is no any creditor as the company has never traded. From my understanding I also need to inform HMRC, but couldn't find any form on HMRC's website.

If there are no creditors and you’ve submitted the DS01, you’re grand as the penalties will not be enforced.
