Does Ltd company require a UK resident director?

Didn't find your answer?

Is it a requirement for a UK ltd company to have at least one UK resident director?  I came across something yesterday saying it is a requirement but cannot find it now and everything else seems to suggest that it is not.

Thanks.

Not to my knowledge ...

... but it must have at least one "natural" director, i.e. the board cannot be comprised entirely of other companies!

No, but…

There is no requirement that any of the directors be UK resident but - if none of the directors are UK resident - watch the tax residency issues. A UK incorporated company is subject to tax in the UK, but overseas residence of directors may also make that company tax resident in the location of the directors, with resulting potential double tax charges unless a tax treaty applies between the UK and the other jurisdiction and a claim is made for treaty benefits.

But

If you don't have at least one UK resident director then the company may not be managed and controlled in the UK.  That could give a weird dual residence situation for the company which you might rather avoid.
