Applicable to acquisition by a company?

This is more of a theoretical question - I believe the answer to be yes but should be grateful for confirmation or correction. Assuming that s62 does not apply, if a company (A) issues shares at undervalue to a company (B) owned by one of A's employees (b), presumably those could be deemed to be shares acquired by a person (company B) by reason of the employment of another person (b)?

I've realised my first response could be interpreted in two very different ways. I meant the version that reads: you don't need a rule to deem something to be what it is, do you?
