Entrepreneur's releif when selling 5% of business

My client wishes to sell 5% of their shares, but will remain in the business and keep 45 % of the shareholding.  I think they are entitled to entreprenuer's releif, but there maybe rules about remaining in the business. 

Can you direct me to the right research

I tend to work on a being-close-enough-to-find-it-if-needed principle.

It doesn't work when I'm in the wrong Act though.
