Company A is creating a holding company (H) which will be issuing shares to the members of A in return for their shares in A. My question relates to the accounting (and reporting on SH01) for the share issue in H. FRS102 says that the consideration for the shares should be fair value, i.e. the value of company A, and I thought that that was the also the case in current UK GAAP - but I can't find it! If the company does not want to apply the fair value provisions of CA2006, which are voluntary, then it does not apply FRS26, and I can't find any other reference to measurement of equity instruments issued in these circumstances. So could Company H simply account for the shares issued at par value?
