Filing Dormants at Companies House

How can I enter negatives?

Didn't find your answer?

Hi,

I need to enter some dormant accounts. Net Assets are negative though but CH not letting me enter negatives. What am I missing? Not even our Accountants could answer this as they don't file them! They said to post but it would be easier to file online.

Can the CH online system actually accept dormant accounts for a company with any negatives?
https://www.gov.uk/government/publications/file-your-dormant-accounts-aa02
http://resources.companieshouse.gov.uk/webfiling/demoVideos/dormantAccou...
suggest that it can only be used:-

for a company limited by shares:
which has never traded
where the only transaction is the issue of subscriber shares

Only guessing, as I've never actually used it.

Once again - just file micro accounts for heaven's sake. There's a good chance that the company isn't dormant if it has some negatives in it.

You could have had it done while you were loading up this query.

Negatives? Do you mean creditors?

Really net liabilities, being amounts owed to parent company. Share capital 100, loss in reserves.

So, if the company is dormant, how is there a loss ?

"Dormant" for Companies House purposes is more than just "not trading". It means no transactions at all - subject to a very few exceptions.

Agreed, however what confuses some is that Companies House put a different interpretation on "Dormant Accounts" when using their system to file.

This Dormant Accounts option needs to go. Now that Micro Accounts are so bland, it has no purpose.

Problem solved, job done.

To repeat the above, if the company has a loss it cannot be dormant for Companies House purposes

Yes, correct as long as it had no 'significant' transactions in the year. Even then it is not dormant for for the purposes of using their filing which can only be used:-
for a company limited by shares:
which has never traded
where the only transaction is the issue of subscriber shares

Just checked CH. Been as follows for 7 years that I can see. Extract as follows, that's it;

Creditors (1,020)
S.Cap 10
Profit and Loss account (1030)

I can't put this more clearly.

The solution is to file FRS 105 Micro Accounts.

Ten minute job.

Tops.

As per others, just because the company didn’t trade and may be dormant for HMRC, doesn’t mean it is for Co Hse. Their online DCA form can only be used for companies that have only ever be incorporated, nothing else.
Get your accountant to file micro-entity or dormant accounts (NB Different from the DCA form), it’ll be a 10 minute job.
