Company A has 1 director and same shareholder.

Company B has same director and shareholder (85%) plus additional director and shareholder (15%).

Can Company A lend to Company B without incurring a S455 liability provided Company B pays a commercial rate of interest?

Some assumptions required

Assuming A and B both UK companies no s455 charge - period. No need for interest.
