client been offered a grant by a US based global company provided he has a not for profit entitity - what sort of UK entitity would qualify for that status? i'm already disinclined to get involved

You/your client should ask the grantor what the criteria are. Depending on the donor it can depend on a number of factors (ownership, purpose, amount of public funding, etc) so make sure you know what they are talking about...
Is it a Google Grant?
First rule of Google Grants is don't talk about Google Grants.
I've applied for these successfully for a number of clients, I think in every case they were registered Charities.
CIC is not a not for profit, they can make profits, just can't distribute dividends.
