Registered Office Address

Change of address Query

Can I change a registered office address (currently mine) for an ex- client?  Their home address?  I no longer work for the client and they have not responded to my disengagment letter.  I am now receiving registered post from Companies House.  Unfortunately my postman signed for me and just put it through the post box.  I was in.  I could of declined the post but didn't get the option to.  Any advice what I should do about ex-client(s) registered office addresses that are my address?  Mnay thanks

(1)The Secretary of State may make provision by regulations requiring the registrar, on application, to change the address of a company's registered office if the registrar is satisfied that the company is not authorised to use the address.

You cannot do it without client's authority. The only other way is to contact Cos House and tell them that you have withdrawn authority for your address to be the RO.
They will write to both you and the client and eventually transfer the RO to a Cos House default address ( one of their PO box numbers).

It is not immediate so don't expect an instant response.
You should mark any letters received "return to sender" and dump them in the post box

Mark it "Gone Away".

Or give Companies House a call and tell them that the address is no longer correct.

Thank you. I will call Companies House and it looks like I need to complete the disputed Registered office form.

Having been through this, Companies House will want your letter of engagement for the service, and invoice showing the charge and then your letter of disengagement. They after accepting these will then contact the directors for them to dispute the fact that they cannot use the registered office, if the directors say they can, then Companies House will advise you that you will then need court approval for the change as they cannot.

I had been returning post for months to Companies House, I had pointed out to the team there that I was obliged in this instance that under the ML regulations I had to cease all transactions with the client, basically that had no effect with them at all.

I have spoken to Companies House this morning and been advised to complete RP07 form. They will try and contact the Directors(s) and if they don't receive a response then the Companies Registered Office address will be reverted to Companies House. Thank you all for your valuable advice.

We make it a contractual term that we will amend registered office back to directors address or company business address if we are no longer acting.

RE dis-engagement we state that on issue to the company that the registered office will be transferred to the address of the person whom we write to but we normally wait for 30 days.

The coments above will mean that the engagement letter will now include this this providing the authority to change it.
