Restoring a Scottish company

A new Ltd client has come to me for the usual compliance services and during the initial interview it came to light that they have dissolved their previous company in Scotland via DS01 route (no debts etc, just decided to close the Co when the big project ended).

 

Apparently, they only now realised that the old Co was owed a large amount of money (retention) which  had never been included in Debtors balance.

 

Can anyone please recommend a good practitioner who can help with the restoration of a Scottish company.

Why do you need anyone? It's a fairly simple procedure from the QLTR.

Thank you for your reply. It was my understanding that as the company was dissolved by a voluntary strike off application, the client cannot use the admin restoration route and needs to go via court. I will however review the QLTR website to see if I can handle the restoration process myself.

So far the lowest restoration quote received was for c £1,650 + fees and disbursements. Seems a tad harsh to me.

My understanding is that administrative restoration can be done within 6 years by a former owner /director whereas the court action is for others with an interest in its resurrection. I am not aware that a voluntary action makes any difference in which case I think the fees total around £800.

Unfortunately, admin restoration is only available in cases where the Co has been struck off by the Companies House themselves.

"Please note we will only deal with applications for consent where the company was struck off under sections 1000 or 1001 of the Companies Act 2006. Where the company was dissolved by other means, e.g. following a voluntary striking off under section 1003, you will need to consider the possiblity of restoration via the courts."

The client would be happy to pay £800 for a straight forward court restoration, but so far the quoted fees are between £1,650 and £2,200.
