Shares, P11d, payroll?

Is it payroll responsibility to report on shares provided to employees?

We are a payroll company and one of our clients has sent us their p11d information and said they have company car and shares. Do we report shares on p11d? if yes which category?

I've found reference to form 42 which seems to be something outside of payroll so if this is the form they need would this be done by their own finance/accountant rather than through p11d?

Help appreciated

There are special rules for employee share schemes outside of payroll.

Let the accountant handle it.

i.e. not a matter for payroll - unless maybe the shares are listed.

For completeness, I oversimplified with the "listed" comment. There are other occasions when PAYE should be operated on share awards - but it's never a P11d item. It's unlikely that PAYE is relevant, but, while one hopes that the company took advice before making the awards, people do do stupid things; there is a faint chance it could come back your way, so (my purpose in this post) don't be too belligerent if that happens. (And never take anything you see in an internet forum as gospel.)
