Hi all,  I was wondering if there exsist a form in CH regarding aquisition of shares document the opposite of SH01?  how does stakeholders know the number of shares held into a incorporated entity?  Company house only holds SCH01 forms but no other forms exsist when you sell the shares, is the only place to find this is the internal sharholders register? and does the transaction goes through the retain earnings?

 

Please correct me if I am worong?

All companies are bound by law to maintain a register of shareholders, that is where the transfer ought to be recorded.

Non traded companies can elect to either keep their registers publicly at Companies House or can keep their own registers and file the information on shareholders annually on their confirmation statement.

Are you asking about a reduction of a private company's share capital by a resolution of the members, supported by a solvency statement from the directors?

If so, the company must register the transaction at Companies House in accordance with s.644 CA 2016. This will then be available for all to see.
