Stamp duty on transfer of stock

Hello

Can anyone help me with a query in relation to stamp duty? A client of mine received some bonus shares from his employer. He now wants to transfer those shares to his personal limited company. Is there any stamp duty to pay in this transfer? The share value is over £1,000.

The value of the bonus shares that my client received from his employer is over £1000. He now wants to transfer those shares to his personal company without any consideration.

He has been offered a directorship and a minority shareholding of his employer's company. He bought a few shares through his personal company and received a few bonus shares on his name. Now he wants to keep all his shares in one place.

So will the company own some ERS and some non-ERS, or were the original shares also ERS?

There is no SDRT/SD if the company does not pay >£1k. There may be CT issues in transferring assets at undervalue to a company, in addition to CGT issues on the (deemed MV) disposal.
