Striking off a company that isn't trading - what do I need to send to HMRC?

Striking off a company HMRC requirements

Didn't find your answer?

I have a small company and over the last few years profits have been low and as I'm no longer saving tax I have decided to unincorporate my business and become self-employed.

My year-end is 31 March, and the last accounts I submitted were for the year ended 31.3.15.  These showed a loss, and I therefore didn't claim any capital allowances.

As of 1.4.15, I stopped using my company name and invoiced my customers in my personal name.  So the company hasn't traded since 31.3.15.  The company hasn't had a bank account for several years now as I used one in my personal name to save bank charges.

Having read online that you can register as self-employed up until 5 October in the tax year after you start trading, I plan to register now, with effect from 6 April 2015.

I am about to submit a form DS01 to Companies House (striking off a company), and I gather that I won't need to submit any further accounts now. However, I would welcome any advice on whether I need to send anything to HMRC?  Will they require cessation accounts?  (there is no goodwill value, and the balance sheet only has a few small-ish tools in fixed assets, which would have a market value well below the few thousand owed to me on my director's loan account.)

Thanks in advance.

Write to HMRC, Corporation Tax Services, BX9 1AX, saying that the last accounts submitted to them for the y/e 31.03.15 showed a loss, that the company ceased trading on that date, that you now intend to apply to Companies House for the company to be struck off and you would be grateful if they did not raise an objection to the proposed dissolution. You should get a reply from HMRC in a couple of weeks saying that they will not object.

Submit the form DS01 to Companies House. The dissolution will happen after 2 months.
