...Companies House should have a "report" button that readers could click to highlight "problem" accounts which appear to slipped through CH's own net.
First person to grass the company up gets 20% cut of any subsequent penalty in relation to that year.
Everyone's a winner - and we might as well get paid for doing CH's job for them.
The conversion makes no difference from a tax perspective, the "first year" of the LLP will be taxed in 2011/12 on an ordinary basis.
This assumes nothing clever has been done in terms of old partners retiring and becoming shareholders in corporate members of the new LLP. Ordinarily (if the partners remain the same), the basis of taxation will remain the same and there will be no overlap relief claim etc
My answers

You want limited company benefits, you accept limited company filing requirements. Simple as that.
Failing to file (or file properly) on time is a criminal offence. Civil adminstration penalties apply, at levels specified by the Secretary of State.
One hopes that the more money Companies House can raise, the cheaper it will be for the rest of us to transact with CH on our clients behalf.
Bring on the button I say, ;-)
Maybe
