Probably a reorganisation followed by a demerger but there are a lot of ifs and buts that would need to be sorted by the provision of a lot more information (and not on a free forum).

Why would a s169Q election be beneficial? Assuming this was just a straight share for share, the new holding would potentially qualify for BADR as comprising shares in the holding company of a trading group

With only £1,000 of reserves it is going to have to have a very high share capital to get enough reserves to allow the share buy-back to happen!

I don't have a works mobile. I switch my laptop off at the end of the working day which is generally between 17:00 - 18:00 although I might take a short lunch on a Friday and take a POETS day.

I seem to recall that, many moons ago, a firm I worked for signed an audit report off as [Firm Name] Chartered Accucunts or similar. Another firm used the phrase "Profit/(loss) arising on disposal of fixed assets". One might see that the omission of the first 'i' in 'arising' could cause some mirth. Unfortunately it happened all too often.
