It does seem that 'entitlement to be paid' is the key issue for them. There was a phone call my colleague had where they said that it was agreed not to pay anything until the scheme was registered. I will need to clarify that with the Director and see what was actually agreed and whether it was in writing.
I don't think any contracts existed back then either. An HR company was appointed around the same time we were. I'll ask whether any contracts were subsequently drawn up and what they say.

The reason given that they weren't paid prior to April was because they wanted to set up the PAYE scheme first.
If it helps, the relevant employee (plus one other) is salaried. There is a further employee paid on hours worked and they have timesheets going back to when they started.

I thought as much but I was tying myself up in knots thinking too much and considering problems which weren't there!

Great idea about the preference shares but knowing the client I don't think they would want to do this if they could help it. It looks like I will have to tactfully enquire into the client's health first. He is in his 70s and I know he had a health scare before I took him on as a client but he seems fairly fit and well at the moment!!
